3. Client Responsibilities

4. Payment Terms

Payment terms are established in individual project agreements. Generally:

• Payment schedules are based on project milestones
• Invoices are due within 30 days of receipt
• Late payments may incur additional fees
• Work may be suspended for overdue accounts

5. Intellectual Property

Upon full payment, clients receive ownership of custom-developed code and applications. GINtech Systems retains rights to:

• Pre-existing tools and frameworks
• Knowledge gained through the project
• Portfolio rights for marketing purposes (with client approval)

6. Confidentiality

GINtech Systems maintains strict confidentiality regarding client information, business processes, and proprietary data. We implement appropriate security measures to protect sensitive information and will not disclose client information to third parties without explicit consent.

7. Warranties and Disclaimers

While we strive for excellence in all deliverables:

• Services are provided "as is" without warranties
• We cannot guarantee specific business outcomes
• Client testing and acceptance is required before deployment
• Bug fixes are provided for 30 days post-delivery

8. Limitation of Liability

GINtech Systems' liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages arising from the use of our services or deliverables.

9. Project Modifications

Changes to project scope require written approval and may result in additional costs and timeline adjustments. We reserve the right to charge for work performed outside the original scope.

10. Termination

Either party may terminate services with written notice. Upon termination:

• Payment is due for completed work
• Client receives work completed to date
• Confidentiality obligations remain in effect

11. Governing Law

These terms are governed by the laws of Pennsylvania, United States. Any disputes will be resolved in the appropriate courts of Pennsylvania.
